Having done both these sights both are an excellent way to get a birds eye view of NY.
Top of the Rock is located in the Rockerfeller Centre and is the only place you can get a view of the Empire State Building on one side and Central Park on the other. TOTR is totally surrounded by Glass and it doesnt get so cold up on top. It is very well organised with no major Queues. The views are outstanding. We actually did TOTR twice, once by day and again to see the city at night.
ESB is located around 32nd Street about 5 minute walk from Macy's. If you visit during the day the Queues can be very long and it can take anything up to two hours to get to the top. The viewing platform located on the 66th floor is totally open and be warned if you are visiting NY in winter it gets very cold up top. Bring a hat. There is an option to pre purchase tickets for ESB and they are opened for a year. These tickets can be bought on line and will at least cut the Queueing time.
If time is an aspect of your trip and you can only do one of these attractions then I would recommend TOTR but if you have the time to do both, then you will thoroughly enjoy both.
